TERMS AND CONDITIONS
These Terms and Conditions outline the policies governing Gro Club's services under both its Smart Ownership Plan (for orders placed on or after June 21, 2024) and its Subscription Plan (for orders placed before June 20, 2024). By using Gro Club's services, you agree to comply with these terms.


GRO CLUB’s SERVICE PLANS

1. Smart Ownership Plan (for orders on or after June 21, 2024):
The Smart Ownership Plan allows customers to own bicycles outright while enjoying the flexibility to upgrade as needed. This plan emphasizes value, sustainability, and adaptability.

  • Customers purchase bicycles outright with the option to upgrade at any time.
  • The ownership terms, upgrade options, and included benefits are detailed below.

2. Subscription Plan (for orders before June 20, 2024):
The Subscription Plan is designed to reduce the burden of buying a bicycle, creating a hassle-free environment to own and maintain a bicycle for a predefined chosen period of time. Under this plan:

  • Gro is the proprietary Owner of the bicycle, and the customer is the Lessee.
  • The customer selects the bicycle and tenure of their choice to lease the bicycle.

SMART OWNERSHIP PLAN TERMS (for orders on or after June 21, 2024)

  • Ownership: Customers purchase bicycles outright, making them the owners of the product.
  • Upgrade Option: Customers can trade in their current bicycle for an upgrade at any time.
    • Upgrade Value: Calculated as: (total cost of the bicycle ÷ 18 months) × months used.
    • Post-18 Months: Customers receive up to 40% of the assessed value as a discount on the next bicycle.
  • Included Benefits:
    • Free doorstep delivery, service, and maintenance for 18 months.
    • Free warranty on all parts (excluding tires and tubes) for 18 months.

SUBSCRIPTION PLAN TERMS (for orders before June 20, 2024)

  • Agreement Terms: During the lease tenure, the Owner leases the bicycle to the Subscriber, who agrees to lease the bicycle under the terms of this Agreement.
  • Payment: The Subscriber agrees to pay the stipulated amount upfront.
  • Product Condition: Gro provides brand-new bicycles, which can be returned within 5 days of delivery if unsatisfactory.
  • Use and Maintenance: The Subscriber must:
    • Store the bicycle in a dry, secure place.
    • Return the bicycle in good condition upon upgrade or lease termination.


GENERAL TERMS (APPLICABLE TO BOTH PLANS)
Use of Bicycles:
Subscribers/customers must:

  • Use the bicycle(s) in a good and careful manner.
  • Comply with manufacturer requirements and recommendations, as well as local, state, and federal laws regarding use.

Subscribers/customers will, at their own expense, keep the bicycle(s) in good repair, appearance, and condition, except for normal wear and tear.


Warranty:
Gro warrants that the bicycle(s) will be:

  • In good working order upon delivery.
  • Free from defective materials and workmanship under normal use.

Gro provides a lifetime warranty on mechanical parts, covering:

  • Frame, forks (rigid or lockout suspension types).
  • Original components, including cranksets, chains, derailleurs, brakes, handlebars, seat posts, and more.

Exclusions:

  • Damage due to accidents, negligence, or unauthorized repairs.
  • Consumables like tires and inner tubes.
  • Warranty will be void if any modifications, part substitutions or attachments are made to the bicycle that alter its integrity, safety, or performance, unless explicitly approved in writing by Gro.

Loss and Damage:
Subscribers/customers bear the risk of loss, theft, or extraordinary damage to the bicycle(s) from any cause. Examples of extraordinary damage include:

  • Rust due to improper storage.
  • Bent or cracked frames, buckled wheels.
  • Missing components upon return or trade-in.

Dispute Resolution and Arbitration:
In the event of a dispute, efforts will first be made for amicable resolution. If unresolved:

  • The dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
  • Gro appoints a sole arbitrator, whose decision is final and binding.
  • Venue: Bangalore, India.
  • Language: English.

Termination:

  • For Smart Ownership: Trade-ins and upgrades are subject to applicable policies. Any remaining value is adjusted during upgrades.
  • For Subscription Plans: Gro may reclaim the bicycle(s) upon breach or lease expiry. Any pending dues must be cleared immediately.

CONSEQUENCES OF TERMINATION

  • For Subscription Plans:
    • Gro shall have the right to take possession of the bicycle(s) immediately.
    • Any subscription fees for the remaining tenure shall be retained by Gro.
  • For Smart Ownership Plans:
    • Customers are entitled to trade-in or sell back bicycles to Gro under applicable policies.

SUBSCRIBER/CUSTOMER CONSENT
By authorizing payment or completing a transaction, the Subscriber/Customer confirms that they have:

  • Read and understood these Terms and Conditions.
  • Provided consent to Gro for the agreed plan.

DISCLAIMER

  • Gro reserves the right to cancel orders prior to delivery and refund any amounts paid within 7–10 working days.
  • Current or future orders are treated as independent of past transactions.
